1. Acceptance terms
Through firstpage into http://www.aloha.twwebsite indicate you yourself already agree to sign this agreement with  ALOHA EBN , and you accept all terms and conditions (“terms ”) of this agreement. ALOHA EBN  themselves can have right to alter“terms ”. If “terms ” have any alteration, ALOHA EBN  will publish it on website , and inform you .if you do not agree correlative alteration, you have to stop your “service ”. Once modified “terms ” are published on  ALOHA EBN website , which will go into effect immediately and automatically. you login or continuously use “service ” which indicate you already accept the modified“terms ”. Except separately declare, any new content which enlarge range of “service ”or strengthen its function are restricted by this agreement .unless authorized senior managers of  ALOHA EBN  sign written agreement ,this agreement can not be modified separately. 
 
 
2.<span class="black-xy"><b>Who can use http://www.aloha.tw?</b></span>
<span class="black-xy">“Service ”is only provided to individuals or companies which can sign the agreements with law sanction according to correlative laws . So you must be eighteen years old or above . If you do not agree with this condition , please not to use “service ”. ALOHA EBN  themselves have full right to refuse to provide “service ” to anybody at any moment. And “service ”will not be provided to members of  ALOHA EBN  whose member qualification are canceled temporarily or permanently .  </span>
 
3. <span class="black-xy"><b>Charges</b></span>
Our company keep right to collect “service ”charges after inform you according to term 1. You should pay all charges of  trade , payment service or servers of our company , and all hardware ,software ,service and other charges .our company keep rihgt to temporarily or permanently alter or stop partial or full“service ”without information. 
 
4. ALOHA EBN website is just a trade site .  
<span class="black-xy">Our company website is only the site for users to look for trade partners , to negotiate about goods and services, and obtain correlative services of different trade. But ,our company can not control goods quality ,safety or validity ,facticity or veracity of business information, and ability of trade sides performing their obligation of trade agreement.our company also can not control if trade sides can perform their agreement obligation . Moreover,you yourself should pay attention to business risk with foreigner ,minors or business cheaters.  </span>

5.<span class="black-xy"><b>Your data and business goods</b></span>
<span class="black-xy">“Your Data ”include any data during the process of your register, trade or listing goods , and any open information site or through any E-mail provided to our company or other users, including data, text ,software ,music, sound,photo, picture, video, expressions or other things .you should bear all liability of “your data ”, our company is only the channel you issue and publish“your data ”. If our company consider “your data ” maybe bring any law or moral responsibility to our company ,or maybe make our company (entirely or partial ) lose their service providers or service of other providers ,or  you do not login or login again during the time limit of  ALOHA EBN , our company themselves have right to take any necessary or proper action for “your data ”,including but not limited to deleting your data .you should guarantee here ,you own all right of “your data ” submitted to  ALOHA EBN , including all copyright.you affirm that  ALOHA EBN  have no responsibility to identify or decide your data what should be protected , our company also do not take charge of other users’ using “your data ”. </SPAN>
 
5.1 <span class="black-xy"><b>register obligation</b></span> 
<span class="black-xy">If you enrol in  ALOHA EBN website, you agree：<BR>
(a) according to demand of member data table published in http://www.aloha.tw/login/register.asp, provide true,correct,complete data and the data which can not reflect present situation of you or your company ；<BR>
(b) maintain and timely update your member data. If you provide any untrue, incorrect, incomplete data or the data which can not reflect present situation of your company. Or  ALOHA EBN  doubt the data which is untrue, incorrect, incomplete and can not reflect present situation of your company with reasonable reason ,  ALOHA EBN  have right to pause or stop your register identity and data and refuse you to use "service "(or its any parts ) in present or future ,.if you are one company or  other legal subjects registered in this company, you should declare and guarantee you have right to restrict our company or other legal subjects by the "terms " of this agreement.</span>
 
5.2 <span class="black-xy"><b>Member register name ,password and secret</b></span>
<span class="black-xy">During register,you will choose member register name and password. You yourself should keep the secret of your member register name and password , bear all responsibility under the action of your member register name and password. You agree：(a) if you find anybody unauthorized use of your member register name or password,or any other crics of violating secret regulation, you will immediately inform  ALOHA EBN ；and (b) ensure you exit from website by correct steps every time.  ALOHA EBN  can not and will not take charge of any loss and demage because you do not obey this terms. </span>
 
5.3<span class="black-xy"><b>About the regulations of your data. </b></span>
<span class="black-xy">You agree,“your data ”and your “goods” on  ALOHA EBN website （mean in general all particular goods which can be traded according to law, tangible or intangible, and exist in all kinds of forms ,or some right or benefit ,or some bill or securities,or some service or behavior . Word “Goods” of this agreement all include this kind of meaning） </span> <br>

b.<span class="black-xy">Not violate the ownership ,or copyright, patent, trademark ,business secret or other intellectual property ,or privacy ,honorary right of goods owned by any third party；</span> <br>
c.<span class="black-xy">Not violate any law,law codes,regulations or rules (including but not only limit in about  law,law codes,regulations or rules of canonical export management, trade quotas,consumer protection,illegitimate competition or  fictitious advertisement)；</span> <br>
d.<span class="black-xy">Not include contents of slander（including business slander）, invalid menace or invalid harassment；</span> <br> 
e.<span class="black-xy">  Not include contents of obscene,or any enfant eroticcontent； </span> <br>
f.<span class="black-xy"> Not include deliberately destroy, maliciously disturb,secretly intercept or invade and occupy any system, any virus which invade and occupy any systems, disguise to destroy procedure,computer worm, time procedure bomb or other computer procedure</span> <br>
g. <span class="black-xy">  Not directly or indirectly connect with following goods or service ,or include the description of following goods or service ：(i) forbidden goods or service of this agreement；or (ii) you have no right to connect or include goods or service . Moreover ,you agree not to ：(h) send lots of E-mail at random, or any copy or unnecessary information about use of“service ”；(i) without permission of others , use “service ” to collect their E-mail and other data ；or (j) use “service ” to make fictitious E-mail.   </span> <br>
 
5.4<span class="black-xy"><b>Forbidden goods</b></span>
<span class="black-xy">You are forbidden to publish in our company website or do business through our company website ：(a) any goods which maybe make our company violate any correlative law, law codes, regulations or rules；or (b) any goods in forbidden goods list of  ALOHA EBN . Forbidden goods list of  ALOHA EBN  is mentioned here and bring into this agreement , and can be updated at any time. </span>
 
6. You award permission access to our company. 
You award unique ,global ,permanent, free permission access (and have right to re-authorize this access) to our company , so our company can have right (entirely and partial ) to use ,copy ,modify, rewrite, issue ,translate , dispense , perform and reveal"your data "or make its derived works,and /or by any form , media or technique now or in the future , bring "your data " into other works . 
 
7.Intimacy. 
Although  ALOHA EBN  hold the permission access stipulated by term 6,  ALOHA EBN  can use “your data ”only according to the intimacy declaration of our company . All terms of intimacy declaration of our company belong to a part of this agreement, so you must carefully read it. If you once willingly publish “your data” in trade site of  ALOHA EBN , these data may be used and obtained by others.
 
8.Trade procedure
 
8.1  Add description entry of product . Product description include character description, picture and /or photo provided by you to  ALOHA EBN website , it may be (a) the product description you hold but want to sell；or (b) the product description you are looking for .you can publish any kind of product description in  ALOHA EBN website,or issue two types at the same time, it is the conditions for you to bring your product description into correct catalogs.  ALOHA EBN  do not take charge of the veracity or content of product description. 
 
8.2 Negotiation about trade . 
Business sides definitely describe their offer and back-offer in  ALOHA EBN  website, and negotiate with each other. All sides accept their offer or back-offer which will make users involved in  ALOHA EBN  have obligation to finish their trade. Unless in exceptional circumstances , such as users substantive alter goods description or clarify any character input error after you bring forward your offer ,or if you can not approve users identity, offer and promise can not be withdrawn. 
 
8.3 Dispose of trade dispute. 
Our company can not and will not be involved in trade of all sides. If you have dispute with one user or above ,or with service providers of third party who you obtain the service through our company website,you remove the responsibility of  ALOHA EBN  (and our company deputy and employee ) which is caused by these dispute ,or any (actual and consequences of) right ,demand and damage compensation etc. Of any aspect related to these dispute different variety and character.
 
8.4 Elementary knowledge of use. 
Our company can not and do not try to control the data provided by users for “service ”.But according to the data nature of other users, some may be disgusting ,harmful or incorrect , and In some cases may have wrong sign explanation or add sign explanation by the way of cheat.our company hope you to be very careful and use elementary knowledge when you use our company website. 
 
9.Trade system
 
9.1 Not to manipulate trade . 
You agree not to use help to hoodwink or deceive partners (underling clients or third party ), manipulate result of business negotiation with other trade side. 
 
9.2 Integrality of system 
You agree not to use any device ,software or routines procedure intervention or try to intervene normal operation of http://www.aloha.tw website or any trade being performed on our company website .you can not have any action of adding unreasonable or disproportionate large load 庞大on our company network structure .you can not reveal your password to any third party ,or share your password with any third party ,or use your password for any unauthorized purpose.  
 
9.3 Feedback
You can not take any action which will do harm to the integrality of information feedback system, such as：use second member identity sign or third party to leave obverse feedback for yourself； use second member identity sign or third party to leave negative feedback for other users (feedback data bombing)；or users can not perform some action out of trade range , leave negative feedback (feedback is maliciously imposed). 

9.4 Not for Commercial use. 
You agree not to use any data for commercial use, including but not limited to written permission of  ALOHA EBN  authorized senior managers,copy any data of  ALOHA EBN  website .
 
10. Terminate or visit restriction.  
You agree, ALOHA EBN  itself has right to decide any reason (including but not limited to  ALOHA EBN  you already violate letter meanings and spirit of this agreement ,or do not agree with letter and spirit of this agreement,or you do not login website with your accounts and password over ninety days) of terminating your “service ”password, account (or other parts ) or  use of your “service ”, delete and discard“your data ”. ALOHA EBN  at the same time themselves have right to , inform or not to inform, stop “service ”or other parts at any moment . You agree to terminate your “service ” without notice according to any regulation of this agreement , admit and agree, ALOHA EBN  can immediately cancel your accounts,or remove your accounts and all correlative data and archives of your accounts ,and /or forbidden further you into these archives or “service ”. After accounts are terminated,  ALOHA EBN  have no obligation for you to keep  any correlative information of original accounts  or information which is transmitted to you or  third party . Moreover,you agree, ALOHA EBN should not take charge of any responsibility for terminating your “service ”. Term 12,13,14 and 22 should go on effect after this agreement is terminated. 
 
11. What is the consequence of violating regulations？
Under the precondition of not restricting other remediation measures, Any one of the following occur ,our company can immediately warn , temporarily stop, permanently stop or  terminate your member qualification , delete your any existing product information, and any other data：(i) you violate this agreement ；(ii) our company can not verify or identify any data provided by you to our company；or   (iii) our company believe your behavior maybe bring any law responsibility to you , users of our company or service providers of third party who provide service through our company or our company website . under the precondition of not restricting other remediation measures, if we find you engage in fraud related to our company website, ALOHA EBN  can temporarily stop or terminate your accounts .  
 
12.“Click present situation” to provide service. 
Our company will try our best to make you enjoy your use of   ALOHA EBN website. It is a pity our company can not foresee all technique problems or other difficulty at any moment . These difficulty may lead data loss or other service interruption. So you should definitely understand and agree, you yourself should bear the risk of using“service ”.“Service ” is provided by“click present situation”and “click acquirability”. ALOHA EBN definitely declare not to make any kinds of express or suggestive guarantee ,including but not limited to guarantee of marketability ,for special use and no tort behavior etc.  . ALOHA EBN  do not guarantee the following content:
(i)"Service "will agree with your demand；
(ii)"Service "do not be interrupted , and timely ,safe and without any error ；
(iii) use result of“service ” is reliable for correct ;and you purchase or obtain any products, services, data or quality of other materials through"service " which will agree with your anticipation. 
(iv)  You yourself have full rihgt to download or obtain any materials through "service ", bear all relational risk, and you yourself take charge of any damage of your computer system or any data loss produced by your downloading any material. You obtain any oral or written suggestion or data from  ALOHA EBN  or through  or from "service ",do not definitely contain any guarantee in this agreement.  
 
13. Responsibility scope
You definitely understand and agree  ALOHA EBN  do not take charge of responsibility for any damage compensation of any case as follows ,including but not limited to loss of profit, commercial reputation, use, data etc. Or damage compensation of other invisible loss ( no matter whether  ALOHA EBN  already be informed about the possibility of these damage compensation)：(i) use or cannot use "service "；(ii) through  or from "service " purchase or obtain any goods ,sample,data, documents or service ,or through or from "service " accept any information or alternative goods and service charges of any trade ；(iii) unauthorizedly access or alter your transfers data or documents ；(iv) declaration of "service "or about behavior of "service " from any third party；or (v) any other things involved to"service ", including negligence . 
 
14. Compensation 
You agree if you violate this agreement or other documents of this agreement ,or violate law or right of third party , which make third party bring forward their compensation demand to  ALOHA EBN  and its subsidiaries ,filiales , directors, employees,deputys （including judicial charges and other professionals charges ）,you must compensate for these loss of  ALOHA EBN and its subsidiaries ,filiales , directors, employees,deputys . 
 
15. Abide by laws
You should abide by all correlative laws, law codes, regulations and rules about use of “service ”, and biding , purchasing and selling any goods and providing business information. 
 
16.  No agent relations
You and  ALOHA EBN  is only independent contractors relation. This agreement have no intention to form or create a relation of any agent ,partnership, joint venture, employment and employed or concession awarding and awarded .  
 
17.Advertisement and finance service
You communicate with advertising people or for business or in its promotional activities in “service ” or through “service ”, including correlative goods or service payment and delivery of correlative goods or service , correlative any other terms ,conditions ,guarantees or declarations for these business, not only limited to the things between you and these advertising people. You agree  ALOHA EBN  should not take charge of any responsibility for any loss or damage of these business between you and these advertising people. If you want to create or participate in any service related to any company , stocks, investment or securities through “service ”,or collect or demand any new information or other data related to any companies , stocks, investment or securities through “service ”. Kindly note,  ALOHA EBN  do not take charge of any responsibility for the veracity, serviceability or usability, profitability of any data through  “service ”. And also do not take charge of any responsibility for any trade or investment decisions according to these data . 
 
18.  Links
“Service”or third party all can provide links with other WWW website or its resource.  ALOHA EBN  do not control these website and its resource, you admit and agree that  ALOHA EBN  do not take charge of any responsibility for the usability of these website or its resource., and also do not recognised and take charge of any content, propaganda, product, service or other materials of these website and its resource. You further admit and agree  ALOHA EBN  do not take charge of any responsibility for direct and indirect loss from any content, propaganda, product, service or other materials of these website. 
 
19. Information  
Unless otherwise definite regulation , any information should be sent by E-mail, (for  ALOHA EBN ) E-mail are 0,or (for you ) sent to the E-mail provided to  ALOHA EBN  when you enrol,or other designated E-mails.  After E-mails are sent out 24 hours, the information should be considered to already reach object E-mail, unless sender is told correlative E-mail already cancelled. or our company can sent information to you through the way of postage prepaid registered E-mail and requested acknowledgement thereof. In this circumstance, the information should be considered already to object address after three days. 
 
20. Force majeure 
For the reasons out of our company reasonable control scope, including but not limited to natural disaster,strike or disturbance ,material shortages or ration , rebellion, war behavior ,government behavior ,communication or other facilities fault or serious casualties etc., lead our company service delay or failure to perform,  ALOHA EBN  do not take charge of any responsibility for you. 
 
21. Transfer
 ALOHA EBN  can transfer this agreement without your agreement. 
 
22. Other regulations 
This agreement make up of whole agreement between you and  ALOHA EBN , and stipulate regulate your use of "service ", and will replace all items of oral or written common view between you and  ALOHA EBN  . All sides of this agreement should be under jurisdiction of chinese law. If any regulation of this agreement is convicted for invalidation or can not be enforceable , these regulations should be cancelled, but other regulations should be implemented. Heading of terms is just for convenience read purposes, and not in any way to define ,restrict,explain or  describe the scope or limitation of these terms. Our company do not take action for your or others’ defaulting behavior, which do not mean our company give up the action right for any late or similar defaulting cases.
 
23. Arbitration
Any dispute caused by or related to this agreement or our company service should be submitted to China Tianjin arbitration committee according to its Applicable arbitration regulation for arbitrament. Any dispute should be solely arbitrated, and can not be arbitrated with any other disputes together. Arbitration should be in Beijing, China, and the arbitrament can be submitted to any courts with its jurisdiction for enforcement . You or  ALOHA EBN  can ask any courts with its jurisdiction in Beijing, China for protecting the right or taking any temporary or Initial remedial measures, which is necessary for property, including but not limited to property preservation or preservation measure of evidence of you or  ALOHA EBN  during arbitration.
